Inna Circle | Terms and Conditions

Inna Circle aims to (a) provide childminders with an online venue to offer childcare services (i.e., taking care of children and providing age-appropriate learning and development activities to children (“Services” or “Child Care Services”) and (b) provide members/users of Inna Circle (“Members”) with an online service site to get short term on-demand childcare services (“Platform”).

A. Terms and Conditions (Childminders)

What is a childminder: A natural person whose independent business is to take care of the child/children of a registered Inna Circle Member at a specified date and period of time.

Childminding scope
Help working families by taking care of their kids (1-10 years old) for a minimum of 3 hours at a specified date.
Implement Inna Circle age-appropriate learning programs during the childminding period.

1. Responsibilities:
All Inna Circle childminders listed in the Platform have the responsibility to provide a high level of professionalism when carrying out their work.

2. Service:
To ensure high quality service, Inna Circle childminders listed in the Platform must:

  • follow safety protocols required by law, and personally perform the Services in accordance with applicable laws and regulations
  • be able to proactively promote age-appropriate fun learning activities that support children’s intellectual, behavioral and physical development.  (Inna Circle has sample learning programs for reference).
  • perform the Child Care Services using their own means and methods and exercise full discretion, subject to the goal of completing the services on schedule and to the satisfaction of the clients .
  • demonstrate careful attention and consideration to the child or family condition or situation.
  • have the ability to show empathy and emotional support and understanding to a child even in stressful situations.

Childminders provide the Child Care Services as independent, freelance, and contractual service providers. Childminders are not employed by nor are agents of Inna Circle.

3. Obligations:

  1. Submit all required documents to Inna Circle with true and correct information.
  2. To report or update Inna Circle team for any changes in the childminders information or situation, the soonest possible time.
  3. Maintain good standing and status as a qualified and competent independent service provider in the Platform by securing and maintaining all authorizations, licenses and permits, whether necessary or desirable, for the performance of the Child Care Services under applicable laws and regulations.
  4. Ensure that childminders’ participation in or involvement with the Platform and performance of Child Care Services to the Members do not conflict with, violate or otherwise breach any agreement that the childminders may have with other persons.
  5. To keep completely confidential any information regarding the children, their families which is learnt as part of the job, and in line with your individual confidentiality policy.
  6. Inna Circle is not responsible for any direct bookings between Childminders and Clients.  For any direct bookings, transactions or arrangements discussed between the Childminder and clients that may affect Inna Circle system and program, the childminder must inform the Inna Circle team. Should this policy be ignored, the childminder must inform the Inna Circle team. Inna Circle has the right to oblige the Member with relevant fees or block the user account or delist the childminders in the Platform, whichever is deemed appropriate.
  7. Childminder must immediately report to the Inna Circle team any sudden changes on the booking arrangements (extended hours, additional kid, change in location, etc.) that were not indicated in the initial booking request.
  8. After rendering childminding service, the Childminder is encouraged to provide a brief report to the Member about any observations or activities of the child and its experience during the childminding period.
  9. In the event that we receive sufficient negative feedback about the childminder of a concerning nature, Inna Circle team (in its absolute discretion) may block the childminder from its listing of childminder in the Platform and Inna Circle has the right to take any appropriate legal action.

4. Health and Safety:

  1. Follow all health protocols set by IATF and other health authorities.
  2. Ensure that Inna Circle childminders are in good physical and emotional state at the time of service.
  3. Conduct proper reporting to Inna Circle and for any unforeseen incidents (accidents, misconduct, etc.) that occur during the period of service.
  4. Any reported abuse, harassment, or any actions that violate the legal rights (including without limitation rights of privacy and publicity) of the Member or the childminder must be reported immediately and will be fairly investigated.

5. Liability

  1. Inna Circle does not provide Child Care Services. Inna Circle is a neutral venue for childminders and Members. Except for emergency phone support, Inna Circle does not provide Child Care Services. Though we provide general guidance to childminders about safety and child care and to Members about selecting and engaging childminders, Inna Circle does not employ, recommend or endorse childminders and to the maximum extent permitted by applicable law. We will not be responsible or liable for the      conduct of Members      whether online or offline.     
  2. With full knowledge of the risks associated with these activities, The Member and the childminder hereby release, indemnify and hold harmless the Inna Circle team, its affiliates, employees, officers, directors, volunteers, agents, successors and assigns, and any other persons connected with the Organizer or the activity from all liability and responsibility pertaining to any claims, demands, and actions resulting from the Member and childminder participation in such activities, including claims, demands, and actions resulting from injuries, physical or mental, or property damage (including any injury or damage caused by any entity or person’s negligence). This binds not only the childminder and the Member, but also their spouse, partner, heirs, legal representatives, personal representatives, next of kin and assigns.
  3. Inna Circle assumes no responsibility for any mishap, injury, accident or loss of lives to involved parties caused by any intentional or non-intentional action by the childminder or the Member and her family during the period of childminding engagement.
  4. The childminder shall indemnify and reimburse Inna Circle and its related companies, shareholders, directors, officers, employees, representatives, assignees, successors-in-interest, and agents for all claims, damages, losses, expenses and other amounts, including but not limited to costs of attorney’s fees should any of these persons be held liable for any liability, cause of action or claim in connection with, arising from, or related to his/her performance of Child Care Services, including the claims of any tax authority.

B. Terms and Conditions (Member)

Who are the Members: Person / family that registered and use Inna Circle web app to connect and book the services of a childminder at specified schedule.

1. Contract

  1. By registering with Inna Circle, the Member agrees to abide by these Terms and Conditions. If the Member does not agree with any of the terms & conditions, the Member must refrain from using Inna Circle.
  2. Members are required to provide accurate information to complete user registration and booking request form. Any false, incomplete, inaccurate or illegal information is strictly prohibited

2. Obligations

  1. Any verbal or written communications (including emails or any online correspondence) is confidential and the Member agrees not to disclose to third parties.
  2. All childminding service bookings must be made through the Platform only.
  3. Inna Circle is not responsible for any direct bookings between Childminders and Clients. For any direct bookings, transactions or arrangements discussed between the Childminder and clients that may affect Inna Circle system and program, members are required to report this to Inna Circle. Should this obligation be ignored, the childminder must inform the Inna Circle team. Inna Circle has the right to oblige the Member with relevant fees or block the user account or the childminder from Inna Circle Platform, whichever is deemed appropriate.

Inna Circle is not responsible for any misconduct, accident or any unfortunate incident that will occur in the event that the childminder and the Member decide to proceed with direct booking, with or without knowledge of the Inna Circle Team.

  1. The Member must ensure to provide the childminders with a safe, warm and friendly working environment.
  2. In the event that we receive sufficient negative feedback about the Member (including the Member’s family or the specified work environment) in a concerning nature, Inna Circle team (in its absolute discretion) may refrain from accepting any booking from the Member in question. Inna Circle has the right to take any appropriate legal action.
  3. The Member agrees to inform Inna Circle of any changes with the initial booking arrangement (cancellation, extended hours, family set-up) at least 24 hours prior to the agreed booking schedule.
  4. The Member must treat the childminders fairly and kindly. Any reported abuse, harassment, or any actions that violate the legal rights (including without limitation rights of privacy and publicity) of the childminders must be reported immediately and will be fairly investigated.

3. Payment:

  1. The Member agrees to pay all booking fees presented at the time of booking confirmation.
  2. The rates for booking services are subject to change at any time without prior notice.
  3. All cancellations must be made more than 24 hours prior to the care session date and are entitled to a full refund.
  4. Any cancellation made less than 24 hours from the care session date is subject to cancellation charge.
  5. The Member must pay for any sudden additional services or extended hours.
  6. Rescheduling is not allowed as Inna Circle cannot guarantee the availability of the childminder on the next care session schedule. However, it may be possible for exceptional circumstances.

4. Liability:

  1. Inna Circle does not provide Child Care Services. Inna Circle is a neutral venue for Childminders and Parents. Except for emergency phone support, Inna Circle does not provide child care services. Though we provide reference materials to Childminders about safety and child care and to Parents about selecting and engaging Childminders, Inna Circle does not employ, recommend or endorse Childminders and does not control the means and methods used by the childminders in the performance of the childcare services. To the maximum extent permitted by applicable law, we will not be responsible or liable for the performance or conduct of Childminders whether online or offline. Parents are solely responsible for making decisions that are in the best interests of themselves and their children.
  2. With full knowledge of the risks associated with these activities, The Member and the childminder hereby release, indemnify and hold harmless the Inna Circle team, its affiliates, employees, officers, directors, volunteers, agents, successors and assigns, and any other persons connected with the Organizer or the activity from all liability and responsibility pertaining to any claims, demands, and actions resulting from the Member and childminder participation in such activities, including claims, demands, and actions resulting from injuries, physical or mental, or property damage (including any injury or damage caused by any entity or person’s negligence). This binds not only the childminder and the Member, but also their spouse, partner, heirs, legal representatives, personal representatives, next of kin and assigns.

C. Terms and Conditions (Common provisions)

1. Governing Law and Arbitration

  1. These terms of use shall be interpreted in accordance with the laws of the Republic of the Philippines.
  2. Any dispute arising out of or in connection with this Terms and Conditions (Web App) shall first be resolved through good faith negotiations between the parties. To this end, amicable means of dispute settlement shall first be exhausted by the parties. Neither party shall commence litigation or any legal proceedings to resolve such dispute without exerting efforts to amicably settle the same pursuant to this provision or until after the lapse of [30 calendar days] from the time either party receives a notice of dispute from the other party. In any event, any such dispute shall be settled or resolved as expeditiously as possible without interruption or disturbance of the orderly and efficient operations of Inna Circle.

 

2. Confidentiality

  1. All communication between Inna Circle, the childminder, and the Member shall remain confidential.
  2. The Member authorizes the childminder to tell a family member or friend where he/she will be assigned, as well as the expected return time, as part of Inna Circle’s safety measure.
  3. Upon obtaining approval of the Member and the childminder, Inna Circle may release limited personal information for marketing purposes, in compliance with our terms and conditions and other applicable laws.

 

Inna Circle reserves the right to Change our Terms and Conditions at any point. We will notify you thirty (30) days in advance of such intended change prior to its effectivity to you, either by posting it in our website or other appropriate means, such as direct notice.
